These Terms of Service govern the use of the website hosted at hashtagnine.buzz and the professional services offered by HASHTAG NINE CVCW, LLC. The developer behind the site is Hashtag Nine, and the operating entity is HASHTAG NINE CVCW, LLC, a computer integrated systems design studio at 1337 E 750 N, Orem - 84097-5480, United States (US). By loading a page on this site, by submitting the contact form, or by engaging the Company for work, a person agrees to the terms set out below. Please read them carefully, because they define the boundaries of the relationship between the visitor or client and the Company.
The Company works in the field of computer integrated systems design, joining sensors, controllers, panels, edge compute and data routes into a coherent instrument. Because that work affects real operations, these terms place a clear responsibility on both sides: the Company agrees to perform with care and professionalism, and the client agrees to provide accurate information and lawful authority over the systems that are integrated.
Acceptance of These Terms
A person accepts these terms by using the site, by sending an enquiry, or by signing a written agreement that references these terms. If a person does not accept these terms, that person should not use the site. Where a signed agreement between the Company and a client conflicts with these terms, the signed agreement governs to the extent of the conflict, and these terms continue to apply to everything the agreement does not cover.
These terms apply to the public site and to the general conduct of enquiries. They do not replace a project agreement, and they do not transfer ownership of any client system to the Company.
Definitions Used in These Terms
The Company refers to HASHTAG NINE CVCW, LLC. The site refers to the public website at hashtagnine.buzz. A visitor is a person who loads a page on the site. A client is a person or organisation that has agreed to receive services from the Company. Services means the computer integrated systems design work described on the services page and in a project agreement. Deliverables means the drawings, configuration records, playbooks, reports and other materials the Company prepares for a client. Project information means technical and operational material belonging to a client that is shared with the Company for the purpose of the engagement.
Eligibility and Authority
The site is intended for professional and business audiences. A visitor who uses the site confirms that the visitor has the legal capacity to accept these terms where acceptance is required. A client who engages the Company confirms that the client has the authority to grant access to the systems, facilities and information that the engagement requires, and that the client has obtained any internal approval needed before work begins.
Where a client is an organisation, the individual who signs or coordinates the engagement confirms that the individual is authorised to act for that organisation. The Company may ask for written confirmation of authority before accessing a site or a system.
Scope of Services
The Company provides computer integrated systems design services. The published services include Integration Roadmapping, Control Panel Engineering, Sensor Network Weaving, Edge Compute Deployment, Data Highway Tuning and Maintenance Playbooks. Each service is described on the services page, and each may be engaged separately or combined into a larger programme of work.
The Company may decline a request, propose a different approach, or recommend another specialist where a request falls outside the Company competence or where the request would create an undue risk. The Company does not guarantee that a particular approach will produce a particular operational outcome, because operational outcomes depend on factors outside the Company control, including equipment condition, network behaviour and the actions of third parties.
How Engagements Begin
An engagement begins when the Company and the client sign a written agreement, or when the client accepts a written proposal from the Company in a manner the Company recognises. The agreement sets out the scope, the schedule, the fees, the assumptions and the responsibilities of each side. Until an agreement is in place, information exchanged between the Company and a prospective client is treated as confidential but does not create an obligation to perform work.
The Company may issue a short authorisation document for small tasks so that work can begin without delay. Even in that case, the general terms of this document continue to apply unless the authorisation expressly states otherwise.
Client Responsibilities
The client agrees to provide accurate and complete information about the systems to be integrated, to grant timely access to facilities and personnel, and to designate a point of contact who can make decisions. The client agrees to inform the Company of any known hazard, restriction or compliance requirement that affects the work. The client agrees not to ask the Company to perform work that would require the Company to act unlawfully or to bypass a safety control.
The client also agrees to maintain the systems the Company delivers according to the playbooks provided, and to notify the Company of any change that may affect the integration, so that the Company can advise on the consequences.
Fees, Estimates and Payment
Fees are set out in the written agreement. Where the Company provides an estimate, the estimate is based on the information available at the time and on the stated assumptions. If the assumptions change, the Company will inform the client and agree a revised figure before continuing with the affected work. The Company does not begin chargeable work beyond an agreed scope without the client approval.
Unless the agreement states otherwise, invoices are payable within thirty days of issue. The Company may suspend work where an invoice remains unpaid beyond the agreed period, and the Company may charge reasonable costs for recovery where the law allows. Amounts are exclusive of taxes unless stated, and the client is responsible for taxes that apply to the engagement.
Scheduling and Access
The Company schedules work in coordination with the client, and both sides agree to give reasonable notice of changes. Where a client cancels or postpones at short notice, the Company may charge for time that can no longer be reallocated. The client agrees to provide safe access to the site, to any required permits, and to any escorts that site rules require.
The Company works during the hours stated in the agreement and may need to work outside those hours to avoid disrupting operations. Where out of hours work is required, the Company will agree the arrangement with the client in advance.
Deliverables and Ownership
The Company prepares deliverables as described in the agreement. On full payment, the client receives the deliverables listed in the agreement and a licence to use them for the client internal operations. Unless the agreement states otherwise, the Company retains ownership of its underlying methods, templates, reference designs and know how, and the client receives a licence to use those elements only as they are embodied in the delivered materials.
The client is responsible for keeping copies of the deliverables and for controlling access to them. The Company is not responsible for the security of deliverables once they leave the Company control, except where the Company still holds a copy under an agreed support arrangement.
Intellectual Property
The site and its content, including text, layout, styling and code, are the property of the Company or are used with permission and are protected by applicable intellectual property law. A visitor may read, print and share the public content for personal and internal business reference. A visitor may not copy the site wholesale, resell the content, or present the content as the visitor own.
Where a client provides material to the Company, the client confirms that the client has the right to do so and grants the Company a limited licence to use that material for the purpose of the engagement. The Company does not acquire ownership of client material and returns or deletes it according to the agreement and the privacy policy.
Confidentiality
Each side agrees to protect the confidential information of the other. Confidential information includes project information, commercial terms, and any material marked as confidential or that a reasonable person would treat as confidential. The receiving side uses the information only for the purpose of the engagement and discloses it only to people who need it and who are bound by confidentiality obligations.
Confidentiality does not apply to information that is already public, that becomes public through no fault of the receiving side, that was lawfully known before disclosure, or that must be disclosed by law. Where disclosure is required by law, the disclosing side will give prompt notice where it is lawful to do so.
Third Party Products and Standards
The Company integrates third party products, protocols and standards. The Company selects and configures these products with care, but the Company does not manufacture them and does not control their future behaviour. Changes made by a manufacturer, such as firmware updates or end of support notices, may affect an integration, and the Company is not responsible for those changes unless the agreement includes a support service that covers them.
The client is responsible for holding the licences required for third party products used at the client site, and for complying with the terms that apply to those products.
Warranties and Disclaimers
The Company warrants that it will perform with the skill and care reasonably expected of a competent designer in its field, and that it will comply with the laws applicable to its own work. The Company does not warrant that the site will be free of all error or that it will be available without interruption. The Company does not warrant that any integration will be free from defects where the defects arise from equipment, networks or software supplied by others.
Except as expressly stated, the site and its content are provided as they are, and the Company disclaims other warranties to the extent the law permits. Nothing in these terms limits any warranty or right that cannot be limited by law.
Safety, Compliance and Operational Risk
Integration touches live systems, and live systems carry risk. The Company plans work to reduce that risk, isolates changes where possible, and tests before switching over. The client remains responsible for the safe operation of the facility and for ensuring that the site meets the safety and compliance rules that apply to it. The client agrees to maintain the physical and procedural safeguards that the design assumes.
Where the Company recommends a safeguard and the client chooses not to adopt it, the client accepts the resulting risk. The Company will record such recommendations so that the decision is clear to both sides.
Limitation of Liability
To the extent the law permits, the Company is not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of production, loss of data or loss of goodwill. Where the Company is liable, the total liability arising from an engagement is limited to the fees paid for the services giving rise to the claim, or to the amount stated in the written agreement, whichever is stated.
Nothing in these terms excludes liability that cannot be excluded by law. The limitations apply even if a remedy fails of its essential purpose, and they survive the end of the engagement.
Indemnity
The client agrees to indemnify the Company against claims, losses and costs arising from the client breach of these terms, from the client failure to hold the required authority or licences, from material supplied by the client that infringes the rights of another party, or from the client use of a deliverable outside the scope for which it was prepared.
The Company agrees to indemnify the client against claims that the Company own original work, used as intended, infringes the intellectual property rights of another party, provided the client promptly notifies the Company and allows the Company to direct the response.
Termination and Suspension
Either side may terminate an engagement as set out in the written agreement or, where the agreement is silent, by giving reasonable written notice. The Company may suspend or terminate work immediately where a client fails to pay, fails to provide safe access, or asks the Company to act unlawfully. On termination, the client pays for work performed and for costs properly committed up to the date of termination.
On termination the Company delivers the work completed to that date and returns or deletes client information according to the agreement and the privacy policy. The provisions of these terms that by their nature should survive termination, including confidentiality and limitation of liability, continue to apply.
Use of the Website
A visitor agrees to use the site lawfully and not to interfere with its operation. A visitor may not attempt to gain unauthorised access to any part of the site, may not introduce malicious code, and may not use automated tools to overload the site. The Company may block access where it reasonably believes a visitor is abusing the site.
Content on the site is provided for general information and does not constitute professional advice for a specific situation. A person who needs advice for a specific system should contact the Company to arrange an assessment.
Governing Law and Disputes
These terms are governed by the laws of the State of Utah and the applicable laws of the United States. The parties agree to attempt to resolve a dispute through good faith discussion before starting formal proceedings. Where a dispute cannot be resolved by discussion, the parties agree to the jurisdiction of the courts located in Utah, unless a written agreement provides otherwise.
Before pursuing a claim, a party should send a written description of the dispute to the other party so that there is a clear record of the issue and a fair opportunity to respond.
Changes to These Terms
The Company may revise these terms from time to time to reflect changes in practice or in the law. When a material change is made, the Company will update the effective date at the top of the page. Continued use of the site after a change indicates acceptance of the revised terms. A client under a signed agreement is bound by the terms in that agreement for the duration of the engagement, and any revision applies to new engagements.
